Terms of Service

These Terms of Service ("Terms") govern access to and use of the software-as-a-service platforms operated by Axion Software, LLC, a Texas limited liability company ("Axion Software," "we," "us," or "our"), including Axion Dojo, Cedar, and any other product, application, or service we operate that links to these Terms (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that business or organization, and "you" refers to both you individually and that business or organization.

If you do not agree to these Terms, do not access or use the Services.

1. Who These Terms Apply To

The Services operate on a multi-tenant basis. Two categories of people interact with the Services:

• Account Holders / Tenants — businesses (such as martial arts schools or contracting businesses) that register for and administer a Services account to manage their own operations, staff, clients, students, or customers.
• End Users — individuals who receive communications from, or interact with, an Account Holder's use of the Services (for example, a student, parent, or client of an Account Holder), without themselves holding an administrative account.

These Terms apply to both Account Holders and End Users. Certain sections apply specifically to one or the other, as noted.

2. Eligibility

You must be at least 18 years old to create an Account Holder account. You must provide accurate, current, and complete information during registration and keep that information up to date.

3. Accounts and Security

Account Holders are responsible for maintaining the confidentiality of login credentials and for all activity that occurs under their account, including activity by their staff or authorized users. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

4. Description of Services

The Services provide business management software for service-based businesses, including but not limited to scheduling, billing and payment processing, member or client record-keeping, communications tools (including email and SMS text messaging), and reporting. Specific features vary by product and subscription tier.

5. Subscription, Fees, and Billing

• Access to the Services is provided on a subscription basis unless otherwise agreed in writing.
• Fees are billed in advance on a recurring basis (monthly or annually, as selected at signup) and are non-refundable except as required by law or as expressly stated in a separate written agreement.
• We may change subscription fees with at least 30 days' notice to the Account Holder's account email. Continued use of the Services after a fee change takes effect constitutes acceptance of the new fee.
• Account Holders are responsible for all charges incurred under their account, including charges arising from transactions processed on behalf of their End Users (e.g., membership dues, contract payments) through the Services' integrated payment processing.
• Payment processing is provided through third-party payment processors (such as Stripe). Use of payment processing features is also subject to the applicable payment processor's terms of service.

6. Communications and SMS/Text Messaging Consent

The Services allow Account Holders to send account-related, transactional, and customer-service communications to their End Users via email and SMS text message, including appointment/class reminders, billing notices, account notifications, two-factor authentication codes, and responses to customer inquiries.

Axion Software, LLC is the registered sender of record for all SMS text messages sent through the Services, regardless of which Account Holder's account originates the message. Messages may identify the relevant Account Holder (e.g., a specific school or business name) within the message content to help the recipient identify the context of the communication, but Axion Software, LLC retains responsibility for consent collection, opt-out processing, and compliance with applicable messaging regulations.

By providing a phone number and enabling SMS text messages through the Services (whether as an Account Holder, staff member, or End User), you agree to receive SMS messages from Axion Software, LLC related to your account, including account notifications, billing and payment reminders, customer care communications, and two-factor authentication codes.

• Message frequency varies based on account activity.
• Message and data rates may apply based on your mobile carrier plan.
• Consent to receive SMS messages is not a condition of purchasing any goods or services from Axion Software, LLC or any business using the Services.
• You may opt out of SMS messages at any time by replying STOP to any message received. You will receive one final confirmation message and no further messages unless you opt back in.

• Axion Software, LLC does not sell or share phone numbers or SMS opt-in status with third parties for their own marketing or promotional purposes. See Section 3 of our Privacy Policy for full detail on how phone numbers and messaging data are used.
• Supported carriers include major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages, and message delivery is not guaranteed.
• By providing a phone number, you represent that you are the account holder for that number, or have the account holder's permission to provide it.

Account Holders using the Services to communicate with their own End Users are responsible for ensuring that their use of the Services' communication tools complies with applicable law, including obtaining any additional consent required for the specific content of messages they choose to send (for example, marketing content beyond standard account/transactional communications), and for not using the Services to send content that would violate these Terms, our Acceptable Use Policy (Section 9), or applicable carrier and regulatory messaging guidelines.

7. Data Ownership and Use

• As between Axion Software and an Account Holder, the Account Holder owns the business, member, client, and student data it inputs into the Services ("Account Holder Data").
• Axion Software may access Account Holder Data as necessary to provide, maintain, secure, and support the Services, and as described in our Privacy Policy.
• Axion Software will not sell Account Holder Data or End User personal information to third parties.
• Upon termination of an Account Holder's subscription, Axion Software will make Account Holder Data available for export for a period of 30 days, after which it may be deleted in accordance with our data retention practices described in the Privacy Policy.

8. Intellectual Property

Axion Software retains all right, title, and interest in and to the Services, including all software, design, trademarks (including "Axion Software," "Axion Dojo," and "Cedar"), and underlying technology. These Terms grant a limited, non-exclusive, non-transferable right to access and use the Services during an active subscription. No other rights are granted.

9. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation, including telemarketing, SMS/text messaging, and data privacy laws;
• Send unsolicited, unauthorized, or fraudulent messages, or messages to individuals who have not provided consent;
• Transmit any content that is unlawful, harassing, defamatory, or infringing of a third party's rights;
• Attempt to gain unauthorized access to the Services, other accounts, or underlying systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law.

We may suspend or terminate access to the Services for any account found to violate this section.

10. Third-Party Services

The Services integrate with third-party providers, including payment processors and SMS/messaging carriers. Your use of features relying on these providers is also subject to the applicable third party's terms. Axion Software is not responsible for the acts or omissions of third-party providers.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AXION SOFTWARE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXION SOFTWARE, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. AXION SOFTWARE'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY THE ACCOUNT HOLDER TO AXION SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Axion Software, LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law, including any claims arising from communications you send to your End Users through the Services.

14. Term and Termination

• These Terms remain in effect while you have an active account or otherwise use the Services.
• Either party may terminate an Account Holder's subscription in accordance with the applicable subscription plan terms.
• We may suspend or terminate access to the Services immediately, without notice, for violations of Section 9 (Acceptable Use) or for non-payment.
• Sections 7, 8, 11, 12, 13, and 16 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify Account Holders via the account email on file or through the Services at least 14 days before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

17. General

• Entire Agreement. These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Axion Software regarding the Services.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
