This Privacy Policy describes how Axion Software, LLC, a Texas limited liability company ("Axion Software," "we," "us," or "our") collects, uses, discloses, and protects information in connection with our websites, software-as-a-service platforms, and other products or services that link to this Privacy Policy (collectively, the "Services"). The information processed depends on the Service and features you or your Account Holder use; not every feature described here is available in every Service.

This Policy applies to two categories of individuals:

• Account Holders — businesses and their staff who register for and administer a Services account.
• End Users — individuals who interact with an Account Holder's use of the Services (for example, a student, parent, or client of an Account Holder) without themselves holding an administrative account.

By using the Services, you agree to the collection and use of information as described in this Policy. If you do not agree, do not use the Services.

1. Information We Collect

Information you or an Account Holder provides to us:

• Account registration information (name, business name, email address, phone number, mailing address, login credentials);
• End User records entered by an Account Holder into the Services (for example, student or client names, contact information, enrollment or contract details, attendance, and related records);
• Phone numbers and SMS/text messaging consent status, collected when a phone number is entered and SMS notifications are enabled;
• Payment and billing information, processed through our third-party payment processor (we do not store full payment card numbers on our own servers);
• Communications sent to us, such as support requests;
• Content of messages sent through the Services' communication tools (email and SMS).

Information collected automatically:

• Usage data, including pages visited, features used, timestamps, and device/browser information;
• IP address and general location information inferred from IP address;
• Log data generated by use of the Services, retained for security, troubleshooting, and audit purposes.

We do not use cookies or tracking technologies for third-party advertising purposes.

We use cookies and similar browser storage to maintain sign-in sessions, support security controls, and remember preferences.

Connected financial accounts

Where a Service offers financial account connections, you may choose to connect accounts through Plaid. Depending on the connection you authorize and the features used, we may receive financial institution and account identifiers, account names and types, masked account numbers, balances, and transaction information such as dates, amounts, descriptions, merchants, and categories. We also receive connection-status information and access tokens used to retrieve authorized account data. Updates may be retrieved periodically while the connection remains active.

You complete the connection through Plaid or your financial institution. Our account-linking integration does not receive your financial institution's login password. Plaid's collection and use of information are described in its End User Privacy Policy.

Financial planning records and AI inputs

Financial features may also process information you or your Account Holder enter or upload, including assets, debts, income, expenses, goals, financial documents, and planning records. When AI-assisted features are used, we may process prompts, uploaded content, relevant records supplied to the feature, and generated responses.

2. How We Use Information

We use collected information to:

• Provide, operate, and maintain the Services;
• Use authorized financial account data to display connected accounts, update balances and transactions, support budgeting and financial planning, and prepare reports for you and your authorized Account Holder;
• Provide AI-assisted features, where enabled, such as document extraction, summaries, drafting, and planning assistance using information supplied to those features;
• Process transactions and send transaction-related communications (including billing notices and payment confirmations);
• Send account notifications, customer care responses, appointment/class reminders, and two-factor authentication codes via email or SMS;
• Authenticate accounts and secure the Services against unauthorized access;
• Respond to support requests;
• Monitor and improve the performance, security, and functionality of the Services;
• Comply with legal obligations and enforce our Terms of Service.

We do not use End User or Account Holder personal information to serve third-party advertising, and we do not sell personal information.

3. SMS/Text Messaging Data

If you provide a phone number and enable SMS text messages through the Services, we collect and retain:

• The phone number provided;
• The date, time, and method of opt-in (e.g., via account settings toggle);
• Opt-in and opt-out status and history;
• Content and delivery status of messages sent.

Axion Software, LLC is the registered sender of record for all SMS messages sent through the Services, regardless of which Account Holder's account the message relates to.

• Phone numbers and SMS opt-in status are not sold or shared with third parties for their own marketing or promotional purposes.
• Phone numbers are shared only with the SMS/messaging infrastructure providers (such as our messaging carrier/aggregator) strictly as necessary to deliver messages, and with the specific Account Holder whose business the End User's phone number is associated with, so that Account Holder can manage its own records within the Services.
• You may withdraw SMS consent at any time by replying STOP to any message, or by disabling SMS notifications in account settings. Opt-out requests are processed promptly and you will receive one final confirmation message.
• Text HELP to any message, or contact [email protected], for assistance.

4. How We Share Information

We share information only in the following circumstances:

• With the relevant Account Holder. If you are an End User, the business (Account Holder) you interact with through the Services has access to the records associated with your relationship with them (e.g., your school has access to your enrollment and attendance records).
• With your financial advisor or firm. If you use financial features through an Account Holder, connected-account information and planning records may be available to that firm and its authorized staff according to their access permissions. Ask your firm about its own privacy practices and recordkeeping obligations.
• With service providers. We share information with vendors who perform services on our behalf, including payment processing, SMS/messaging delivery, hosting and infrastructure, and email delivery. These providers are contractually restricted from using information for any purpose other than providing services to us.
• For connected accounts and AI-assisted features. We exchange connection information with Plaid to provide the account connections you authorize. When an AI-assisted feature is used, prompts, documents, or relevant records supplied to that feature may be processed by third-party AI providers to produce the requested result. The data involved depends on the feature and its configuration; connecting an account does not by itself mean every financial record is sent to an AI provider.
• For legal reasons. We may disclose information if required by law, subpoena, or legal process, or to protect the rights, property, or safety of Axion Software, our users, or the public.
• In connection with a business transaction. If Axion Software is involved in a merger, acquisition, or sale of assets, information may be transferred as part of that transaction, subject to this Policy or a policy providing at least equivalent protection.

We do not sell personal information, and we do not share personal information with third parties for their own independent marketing purposes.

5. Data Retention

We retain Account Holder and End User data for as long as the associated account is active, and for a reasonable period afterward as necessary to comply with legal, tax, accounting, or dispute-resolution obligations. Upon request or account termination, we will delete or de-identify personal information within a reasonable period, except where retention is required by law or necessary for legitimate business purposes such as fraud prevention or dispute resolution.

SMS opt-out records are retained indefinitely to ensure we do not re-contact individuals who have opted out.

Disconnecting a financial account stops future synchronization through that connection in our Services; it does not automatically delete information already imported, planning records derived from it, or records your advisor or firm must retain. Copies in backups may remain until those backups expire under the applicable retention process. To request deletion of information held by us, use the contact details in Section 7. Requests concerning information held independently by Plaid or your financial institution should also be directed to that provider.

6. Data Security

We use safeguards designed to protect information against unauthorized access, alteration, disclosure, or destruction, including access controls and HTTPS/TLS for connections to our Services. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

7. Your Rights and Choices

Depending on your location and applicable law, you may have rights to:

• Access the personal information we hold about you;
• Request correction of inaccurate information;
• Request deletion of your information, subject to legal retention requirements;
• Disconnect a linked financial account using the connection controls where available, or request assistance from your Account Holder or our privacy contact; disconnection and deletion are separate actions as described in Section 5;
• Opt out of SMS communications at any time by replying STOP or disabling SMS notifications in account settings;
• Opt out of non-essential email communications via the unsubscribe link included in those emails.

If you are an End User of an Account Holder (for example, a student or client of a business using our Services), you should also contact that Account Holder directly, as they control the underlying records associated with your relationship with them. You may also contact us directly at [email protected], and we will coordinate with the relevant Account Holder as needed.

To exercise any of these rights, contact us at [email protected]. We may need to verify your identity and your relationship to the relevant account before fulfilling a request. Do not send passwords or full financial account numbers by email.

8. Children's Privacy

The Services are intended for use by businesses and adult individuals. Where an Account Holder's business (such as a martial arts school) maintains records relating to minors (such as enrolled students), that data is provided and controlled by the Account Holder in its capacity as the minor's service provider or as directed by the minor's parent or guardian, and the Account Holder is responsible for ensuring it has appropriate consent to provide such information to us. We do not knowingly collect personal information directly from children for our own independent purposes, and we do not knowingly permit minors to create Account Holder accounts.

9. Third-Party Services

The Services integrate with third-party providers, including payment processors and SMS/messaging carriers, who may process information subject to their own privacy policies. We encourage you to review those policies. We are not responsible for the privacy practices of third parties.

For connected financial accounts, review Plaid's End User Privacy Policy. You can also visit Plaid Portal for available connection-management and privacy options. Managing a connection with Plaid does not automatically delete records already held by an Account Holder or by us.

10. Changes to This Policy

We may update this Privacy Policy from time to time. If we make material changes, we will notify Account Holders via the account email on file or through the Services at least 14 days before the changes take effect. The "Last Updated" date at the top of this Policy reflects the most recent revision.
